1. Acceptance of Terms

These Terms and Conditions ("Terms," "Agreement") govern your access to and use of the cleaning services ("Services") offered by The Friendly Neighbors Inc. ("Company," "we," "us," "our"), including any use of our website (www.tfni.net, the "Site") for informational, booking, or account management purposes.

Binding Agreement: By booking, scheduling, or using our Services, or by accessing and using our Site to place an order or manage your account, you signify that you have read, understood, and agree to be bound by all terms and conditions set forth in this Agreement. If you do not agree with any part of these Terms, you must not use our Services or Site.

Capacity to Contract: By engaging our Services or using the Site, you represent and warrant that you are at least the age of majority in your state of residence (Oregon). If you are the age of majority and are booking services for a household where minors may be present or may interact with information on our Site through your account, you acknowledge your responsibility for their adherence to any relevant terms and for supervising any such interaction. Our Services and Site are intended for use by individuals who have reached the age of majority.

2. Products and Services

2.1. Product Descriptions: We strive to ensure that all details, descriptions, and prices of Products appearing on the Site are accurate. However, errors (including processing errors) may occur. If we discover an error in the price or payment of any Products which you have ordered, we will inform you of this as soon as possible and give you the option of reconfirming your order at the correct price or cancelling it. If we are unable to contact you, we will treat the order as cancelled. 2.2. Dropshipping Model: Many Products available on our Site are supplied and shipped directly to you by third-party manufacturers, wholesalers, or retailers ("Suppliers") through a dropshipping model. While we carefully select our Suppliers, we do not hold inventory for these items. 2.3. Availability: All orders for Products are subject to availability. As we rely on Suppliers for dropshipped items, stock levels can change rapidly. We will inform you as soon as possible if any Products in your order are not available and we may offer an alternative or a full refund for the unavailable item(s). 2.4. Color and Appearance: We have made every effort to display as accurately as possible the colors and images of our Products. We cannot guarantee that your computer monitor's display of any color will be accurate. 2.5. Modifications: We reserve the right to discontinue any Product at any time. Prices for our Products are subject to change without notice. We shall not be liable to you or to any third-party for any modification, price change, suspension, or discontinuance of a Product or Service.

3. Ordering and Payment

3.1. Order Placement: To place an order, you will be required to provide your contact details, shipping information, and payment information. By placing an order, you authorize us and our third-party payment processors to process your payment information and complete the transaction. 3.2. Order Acceptance: Your receipt of an electronic or other form of order confirmation does not signify our acceptance of your order, nor does it constitute confirmation of our offer to sell. We reserve the right at any time after receipt of your order to accept, decline, or limit your order for any reason, whether or not your credit card has been charged. If your credit card has been charged and your order is canceled, we will issue a refund to your credit card account. 3.3. Payment Methods: We accept Visa, Mastercard, Apple Pay, Google Pay. You agree to provide current, complete, and accurate purchase and account information for all purchases made at our store. 3.4. Sales Tax: Applicable sales tax will be added to your order total based on your shipping address and the current tax rates. 3.5. Security: We use secure third-party payment processors to handle your payment information. We do not store your full credit card details on our servers. 4. Shipping and Delivery

4.1. Shipping Process: For dropshipped items, once your order is confirmed and payment is processed, we will transmit the order details to the relevant Supplier who will then ship the Product(s) directly to you. 4.2. Shipping Times: Estimated shipping and delivery times are provided by our Suppliers and are estimates only. They can vary depending on the Product, the Supplier, and your location. We are not responsible for delays in shipping caused by the Supplier, shipping carriers, customs clearance, or other circumstances beyond our direct control. Typical processing time before shipment varies of distributor and estimated delivery is 5-15 business days within the continental US. International shipping times will vary. 4.3. Shipping Costs: Shipping costs will be calculated and displayed at checkout. These costs are determined by the Supplier and your shipping destination. 4.4. Multiple Shipments: If you order multiple Products, they may be sourced from different Suppliers and may arrive in separate shipments at different times. 4.5. Tracking: When available, we will provide you with tracking information once the Supplier has shipped your order. 4.6. Incorrect Address: It is your responsibility to provide an accurate and complete shipping address. We are not responsible for orders shipped to an incorrect address provided by you. If an order is returned to the Supplier due to an incorrect address, additional shipping charges may apply to reship the order, or your order may be refunded minus the original shipping costs and any return fees charged by the supplier. 4.7. Risk of Loss: The risk of loss and title for items purchased pass to you upon our (or our Supplier's) delivery of the items to the carrier.

5. Returns, Refunds, and Exchanges

5.1. Return Policy: Due to the nature of the dropshipping model, our return policy is largely dictated by the policies of our individual Suppliers. * Defective or Damaged Products: If you receive a Product that is defective, damaged, or significantly not as described, please contact us at tfnhousekeeping@gmail.com within 14 days of receipt, providing your order number, a description of the issue, and photographic evidence. We will liaise with the Supplier to arrange for a return, replacement, or refund, according to their policy. * Incorrect Item Received: If you receive an incorrect item, please contact us within 14 days of receipt with your order number and a photo of the incorrect item. We will work with the Supplier to resolve the issue. * Change of Mind / Other Returns: For returns due to "change of mind" or other reasons not related to defects or errors, the possibility of a return, exchange, or refund will depend entirely on the specific Supplier's return policy for that Product. Many dropshipping suppliers do not accept returns for these reasons. If a Supplier does accept such returns, you will typically be responsible for return shipping costs, and a restocking fee may apply. Please contact us before attempting to return any item to understand the specific policy for your Product. 5.2. Return Process: Do NOT return items directly to The Friendly Neighbors Inc. unless specifically instructed to do so. You must contact us first to initiate a return request. We will provide you with the appropriate return instructions and address (which will likely be the Supplier's address) if a return is authorized. 5.3. Condition of Returned Items: If a return is authorized, Products must generally be returned in their original condition, unused, and in their original packaging, including all accessories and documentation. 5.4. Refunds: Approved refunds will be processed back to your original method of payment within 7-14 business days after the Supplier has received and inspected the returned Product and confirmed its condition. Shipping costs are generally non-refundable. 5.5. Non-Returnable Items: Certain types of items may be non-returnable as per Supplier policy, such as perishable goods, custom products, personal care items, or sale/clearance items.

6. User Accounts

6.1. Account Creation: You may be required to create an account to access certain features of the Site or to make purchases. You agree to provide accurate and complete information when creating your account and to keep this information up-to-date. 6.2. Account Responsibility: You are responsible for maintaining the confidentiality of your account login information and for all activities that occur under your account. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE FRIENDLY NEIGHBORS INC., ITS DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, CONTRACTORS, INTERNS, SUPPLIERS (INCLUDING DROPSHIPPING SUPPLIERS), SERVICE PROVIDERS OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SITE OR PRODUCTS; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SITE; (III) ANY CONTENT OBTAINED FROM THE SITE; AND (IV) UNAUTHORIZED ACCESS, USE OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE) OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE, AND EVEN IF A REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.

OUR TOTAL LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATING TO THE PRODUCTS OR YOUR USE OF THE SITE SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SPECIFIC PRODUCT GIVING RISE TO THE CLAIM.

10. Indemnification

You agree to indemnify, defend and hold harmless The Friendly Neighbors Inc. and our parent, subsidiaries, affiliates, partners, officers, directors, agents, contractors, licensors, service providers, subcontractors, suppliers (including dropshipping Suppliers), interns and employees, harmless from any claim or demand, including reasonable attorneys’ fees, made by any third-party due to or arising out of your breach of these Terms and Conditions or the documents they incorporate by reference, or your violation of any law or the rights of a third-party.

11. Governing Law

These Terms and Conditions and any separate agreements whereby we provide you Services or Products shall be governed by and construed in accordance with the laws of the State of Oregon, United States, without regard to its conflict of law principles.

12. Dispute Resolution

Any dispute arising out of or relating to these Terms, the Products, or the services provided shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, the dispute shall be resolved through mediation in Newport, Oregon. If mediation fails, the dispute shall be resolved by binding arbitration in Newport, Oregon, or, for eligible claims, in small claims court. You agree to waive any right to a jury trial or to participate in a class action.

We reserve the right, at our sole discretion, to update, change or replace any part of these Terms and Conditions by posting updates and changes to our website. It is your responsibility to check our website periodically for changes.
